These Terms of Service ("Terms") govern your use of FlaggerLink's scheduling and dispatch software ("Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. Eligibility
The Service is provided to traffic control and flagging companies and their staff. You represent that you have the authority to enter into these Terms on behalf of your company or organization.
2. Accounts and Access
Customers are responsible for maintaining the confidentiality of login credentials and all activity under their accounts. Unauthorized sharing or resale of access is prohibited. FlaggerLink may suspend or terminate accounts that violate these Terms.
3. Subscription and Billing
The Service is offered on a subscription basis (month-to-month or annual contract). Fees are based on the number of active users (dispatchers and flaggers) and any add-ons selected. SMS usage is billed monthly in arrears. Training & onboarding, and Toll‑Free SMS verification fees are billed separately at the start of service.
4. SMS Messaging
Customers must obtain and maintain employee consent for SMS communications. Consent is collected within the FlaggerLink application, and customers are strongly encouraged to retain additional paper records. FlaggerLink is not liable for failure to maintain proper consent records.
5. Data and Backups
FlaggerLink takes commercially reasonable measures, including periodic backups, to protect data integrity. However, Customers are responsible for maintaining their own copies of records necessary for compliance, business continuity, or legal requirements. While FlaggerLink strives to safeguard data, the Service is provided "as is" and "as available."
6. Modifications
FlaggerLink may modify these Terms or the Service with reasonable advance notice. Continued use of the Service after modification indicates your acceptance of the updated Terms. Pricing changes will take effect at the next billing period or upon renewal.
7. Limitation of Liability
To the maximum extent permitted by law, FlaggerLink's liability for any damages arising from or related to the Service shall not exceed the fees you paid in the prior 12 months. FlaggerLink is not liable for indirect, consequential, or punitive damages.
8. Termination
Either party may terminate month-to-month subscriptions with 30 days' written notice. Annual contracts may be terminated at the end of the contract term with 60 days' notice. FlaggerLink may terminate immediately for breach of these Terms or non-payment.
